Terms of Service

1. Parties and Agreement

These Terms of Service ("Terms") govern your access to and use of the Tao Climate Scope platform ("Scope", "Service") operated by Tao Climate Limited ("Tao Climate", "we", "us", "our").

By creating an account, completing checkout, or using the Service, you ("Customer", "you") agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.

2. Description of Service

Scope is a Software-as-a-Service (SaaS) sustainability reporting platform designed to help SMEs and mid-market companies understand, track, and report their Scope 1, 2, and 3 CO2 emissions in alignment with EU VSME (Voluntary SME) and CSRD reporting frameworks.

The Service includes:

• Emissions data entry and calculation dashboard
• VSME-aligned report generation
• Optional customer-facing public sustainability dashboard
• Benchmarking and compliance-readiness tools
• Export and PDF report functionality

Features vary by subscription plan. Tao Climate may add, modify, or remove features with reasonable notice.

3. Subscription Billing

Scope is billed on a monthly recurring basis. The Growth plan is priced at €99 per month (inclusive of applicable VAT where required by law). Higher tiers (Pro, Enterprise) are billed at their respective published or agreed rates.

Payment is processed by Stripe, Inc., a PCI DSS-compliant payment processor. By subscribing, you authorise Tao Climate to charge the payment method on file each billing cycle. All prices are in euros (EUR).

• Your subscription renews automatically on the same day each month.
• You will receive a receipt by email for every charge.
• If a payment fails, we will retry and notify you. Persistent non-payment may result in suspension of access.
• Tao Climate reserves the right to change pricing with at least 30 days' advance notice. Continued use after the notice period constitutes acceptance of the new price.

4. Cancellation

You may cancel your subscription at any time by contacting us at hello@taoclimate.com or through your account settings (where available).

• Cancellation takes effect at the end of the current billing period. You retain full access until then.
• No refunds are issued for partial months already paid.
• After cancellation, you may download your data for up to 30 days. After that, your data will be deleted in accordance with our data retention policy.
• Annual plans (where offered) may have different cancellation terms, which will be stated at the time of purchase.

5. Data Ownership

You own your data. All emissions data, company information, reports, and other content you enter into Scope ("Customer Data") remains your property at all times.

You grant Tao Climate a limited, non-exclusive, royalty-free licence to process, store, and display your Customer Data solely to provide and operate the Service.

Tao Climate will not sell your Customer Data to third parties. We may use aggregated, anonymised, and de-identified data for platform improvement, benchmarking analytics, and product development - in a form that cannot identify you or your company.

Upon termination, you may request a full export of your Customer Data in a machine-readable format. We will fulfil this within 30 days of a written request.

6. Data Accuracy and EU VSME Reporting Disclaimer

Tao Climate is a reporting platform - not an auditor, verifier, or certification body.

All emissions figures, calculations, and reports generated by Scope are based on data you provide. We apply standard emission factors from recognised sources (IPCC, IEA, DEFRA, EPA) and alignment with EFRAG VSME guidance, but:

• Tao Climate does not independently audit, verify, or validate the accuracy of your input data.
• Reports generated by Scope do not constitute third-party verified or assured sustainability reports under CSRD, ESRS, or other regulatory frameworks.
• The VSME framework is voluntary for SMEs. It is your responsibility to confirm whether mandatory reporting requirements (CSRD, ESRS) apply to your company and to seek appropriate legal or professional advice.
• Scope outputs should be reviewed by a qualified sustainability professional before being used for regulatory submission, investor reporting, or public disclosure.
• Tao Climate shall not be liable for any regulatory non-compliance, penalties, or reputational harm arising from inaccurate or incomplete data you provide.

7. Public-Facing Dashboard Terms

Scope includes an optional feature that allows you to publish a customer-facing sustainability dashboard visible to third parties (your customers, partners, or the public).

By enabling this feature, you confirm that:

• You are responsible for the accuracy of all data you make public. Publishing false, misleading, or materially inaccurate sustainability information may constitute greenwashing under EU law (Directive 2024/825 on Empowering Consumers for the Green Transition).
• You have the authority to publish sustainability claims on behalf of your organisation.
• Tao Climate is a technology provider and does not verify, endorse, or take responsibility for the accuracy of your published sustainability claims.

Tao Climate reserves the right to suspend or remove a public dashboard that appears to contain obviously false, fraudulent, or legally non-compliant data, without prior notice where immediate action is necessary.

8. Service Availability

We aim to maintain Scope as a reliable, high-availability service. However:

• We do not guarantee 100% uptime. Scheduled maintenance and unexpected outages may occur.
• We will provide advance notice of planned maintenance where reasonably possible.
• Tao Climate is not liable for losses arising from service unavailability, provided we act with reasonable diligence.

If Scope is unavailable for more than 72 consecutive hours in a calendar month due to reasons within our control, you may request a pro-rata credit for that month by contacting support.

9. GDPR and Data Privacy

Tao Climate Limited is the Data Controller for personal data you provide when creating your account (name, email, billing information). For emissions data and company information you enter, you are the Data Controller and Tao Climate acts as a Data Processor on your behalf.

We process personal data in accordance with our Scope Privacy Policy and the EU General Data Protection Regulation (GDPR).

Your rights under GDPR:

• Right to access - request a copy of your personal data.
• Right to rectification - request correction of inaccurate data.
• Right to erasure - request deletion of your personal data (subject to legal retention obligations).
• Right to data portability - receive your data in a machine-readable format.
• Right to restrict processing - request that we limit how we process your data.
• Right to object - object to processing based on legitimate interests.

To exercise any of these rights, contact us at support@taoclimate.com. We will respond within 30 days. For complaints, you have the right to lodge a complaint with the Irish Data Protection Commission (dataprotection.ie).

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Tao Climate's total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid in the 3 months immediately preceding the claim.
• Tao Climate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• Nothing in these Terms limits liability that cannot be limited under applicable Irish or EU law, including liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.

The Service is provided "as is" and "as available." We make no warranties of merchantability, fitness for a particular purpose, or non-infringement beyond those required by applicable law.

11. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws or regulations.
• Enter fraudulent, fabricated, or materially false emissions data with intent to deceive.
• Use the Service to publish sustainability claims that constitute greenwashing.
• Attempt to reverse-engineer, decompile, or circumvent the technical measures of the platform.
• Resell, sublicense, or provide access to the Service to third parties without our consent.
• Scrape or extract data from the platform in bulk using automated means.
• Upload malicious code, conduct denial-of-service attacks, or otherwise interfere with the Service's operation.

12. Termination

Either party may terminate these Terms as follows:

• By you: Cancel your subscription at any time per Section 4.
• By us: We may suspend or terminate your account with 14 days' written notice for material breach of these Terms that is not remedied, or immediately if the breach involves fraudulent activity, illegal use, or a security risk to the platform or other users.

On termination, your right to use the Service ceases. Sections 5 (Data Ownership), 6 (Data Accuracy Disclaimer), 9 (GDPR), 10 (Limitation of Liability), and 14 (Governing Law) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.

If you do not agree with updated Terms, you may cancel your subscription before they take effect and receive a pro-rata refund for any unused period.

14. Governing Law

These Terms are governed by the laws of Ireland. Disputes shall be subject to the exclusive jurisdiction of the courts of Ireland, except where mandatory consumer protection laws in your country of residence provide otherwise.
